1. Acceptance of Terms

By accessing or using SmartCheck ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

SmartCheck is operated from the United Kingdom. These Terms are governed by English law.

2. Description of Service

SmartCheck provides an AI-powered business plan generation service. Users can submit business ideas and receive comprehensive business plans, including market analysis, financial projections, and strategic recommendations.

The Service operates on a token-based system where users purchase tokens to generate business plans.

3. User Accounts

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete information when creating your account
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorised access to your account
  • Be responsible for all activities that occur under your account

You must be at least 16 years old to create an account and use the Service.

4. Token Purchases and Payments

4.1 Pricing

  • 1 Token: $3.99 USD
  • 4 Tokens: $9.99 USD

Each token allows you to generate one complete business plan. Prices are subject to change with notice.

4.2 Payment Processing

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service.

4.3 No Refund Policy

All sales are final. No refunds will be provided.

Due to the nature of digital services and AI-generated content, all token purchases are non-refundable. Once a token is purchased, it cannot be refunded, whether used or unused. By completing a purchase, you acknowledge and agree to this no-refund policy.

5. Acceptable Use

You agree not to use the Service to:

  • Generate content that is illegal, harmful, threatening, abusive, or otherwise objectionable
  • Infringe upon the intellectual property rights of others
  • Attempt to gain unauthorised access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for any fraudulent or deceptive purposes
  • Resell or redistribute generated content as a competing service
  • Use automated systems to access the Service without permission
  • Attempt to manipulate, exploit, or reverse-engineer the AI system or its underlying technology

5.1 Token Misuse Policy

Tokens consumed during activities that violate these Terms of Service, including but not limited to attempts to exploit, manipulate, or reverse-engineer the Service, will not be refunded, credited, or reinstated under any circumstances.

We reserve the right to:

  • Terminate accounts engaged in fraudulent or abusive behaviour without refund
  • Forfeit any remaining token balance for accounts in violation of these Terms
  • Pursue legal action for malicious activities or attempts to circumvent security measures

Automatic refunds issued by our system for technical failures do not apply to tokens consumed during prohibited activities.

6. Intellectual Property

6.1 Your Content

You retain ownership of the business ideas you submit. You grant us a limited licence to process your submissions solely for the purpose of providing the Service.

6.2 Generated Content

Business plans generated by the Service are yours to use for personal or commercial purposes. You own the output generated from your tokens.

6.3 Our Intellectual Property

The Service, including its design, features, and underlying technology, remains our intellectual property. You may not copy, modify, or reverse engineer any part of the Service.

7. AI-Generated Content Disclaimer

IMPORTANT - PLEASE READ CAREFULLY: Business plans generated by SmartCheck are created using artificial intelligence and are provided for entertainment and informational purposes only.

  • NO ACCURACY GUARANTEE: Generated content may contain significant inaccuracies, errors, fabrications, or outdated information. We make no representations about accuracy whatsoever.
  • NOT PROFESSIONAL ADVICE: Generated content does not constitute business, financial, legal, investment, or professional advice of any kind.
  • NO RELIANCE: You must not rely on any generated content for any purpose. Always consult qualified professionals before making any decisions.
  • YOUR RESPONSIBILITY: You are solely responsible for independently verifying all information and for any decisions you make.
  • NO SUITABILITY: We do not guarantee that generated content is suitable, useful, or fit for any purpose whatsoever.

8. DISCLAIMER OF WARRANTIES

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT
  • ANY WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • ANY WARRANTIES REGARDING THE RESULTS OBTAINED FROM USE OF THE SERVICE

YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK. YOU ASSUME FULL RESPONSIBILITY FOR ALL RISKS ASSOCIATED WITH YOUR USE OF THE SERVICE.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMARTCHECK AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER.

THIS INCLUDES, WITHOUT LIMITATION:

  • ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, BUSINESS, SAVINGS, DATA, OR GOODWILL
  • ANY BUSINESS LOSSES OR FAILURES OF ANY KIND
  • ANY DAMAGES ARISING FROM BUSINESS DECISIONS MADE BASED ON GENERATED CONTENT
  • ANY DAMAGES ARISING FROM RELIANCE ON ANY INFORMATION PROVIDED BY THE SERVICE
  • ANY DAMAGES ARISING FROM ERRORS, INACCURACIES, OR OMISSIONS IN GENERATED CONTENT
  • ANY DAMAGES ARISING FROM INTERRUPTION OR CESSATION OF THE SERVICE
  • ANY OTHER DAMAGES OF ANY KIND, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU ACTUALLY PAID TO US IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE CLAIM, OR TEN POUNDS STERLING (£10), WHICHEVER IS LESS.

YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND SMARTCHECK.

10. Indemnification

You agree to indemnify and hold harmless SmartCheck and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Service will immediately cease
  • All unused tokens are forfeited with no refund
  • We are not liable for any losses resulting from termination

You may delete your account at any time by contacting support@smartcheck.dev.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

For EU/UK consumers, this does not affect your statutory rights or your right to bring claims in your country of residence.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
