End User Licence Agreement

1. Introduction

This End User Licence Agreement ("EULA") is a legal agreement between you ("User" or "you") and SmartCheck ("we", "us", or "our") for the use of the SmartCheck web application and service (the "Software").

By accessing or using the Software, you agree to be bound by this EULA. If you do not agree, do not use the Software.

2. Licence Grant

Subject to your compliance with this EULA and our Terms of Service, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Software for your personal or internal business purposes.

This licence does not include the right to:

  • Sublicense, sell, resell, or transfer the Software to any third party
  • Modify, adapt, or create derivative works of the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Use the Software to build a competing product or service

3. Restrictions

You agree not to:

  • Copy, reproduce, or distribute the Software or any part thereof
  • Remove, alter, or obscure any proprietary notices on the Software
  • Use the Software in any manner that could damage, disable, or impair the Software
  • Use any automated system, including robots, spiders, or scrapers, to access the Software
  • Attempt to gain unauthorised access to any portion of the Software
  • Use the Software to transmit any malware, viruses, or harmful code
  • Use the Software for any illegal or unauthorised purpose
  • Circumvent any access controls or usage limits

4. Ownership

The Software, including all intellectual property rights therein, is and shall remain the exclusive property of SmartCheck. This EULA does not grant you any ownership rights in the Software.

All rights not expressly granted in this EULA are reserved by SmartCheck.

5. User Content and Generated Output

5.1 Your Input

You retain ownership of any business ideas, descriptions, or other content you submit to the Software ("User Content"). By submitting User Content, you grant us a limited licence to process it for the purpose of providing the Service.

5.2 Generated Output

Subject to your compliance with this EULA and payment of applicable fees, you own the business plans and other content generated by the Software based on your User Content ("Generated Output"). You may use Generated Output for any lawful purpose.

6. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • ANY WARRANTIES THAT THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • ANY WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR USEFULNESS OF ANY GENERATED OUTPUT
  • ANY WARRANTIES REGARDING THE RESULTS OBTAINED FROM USE OF THE SOFTWARE
  • ANY WARRANTIES THAT GENERATED OUTPUT IS SUITABLE FOR ANY PURPOSE WHATSOEVER

7. LIMITATION OF LIABILITY

  • ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, BUSINESS, SAVINGS, DATA, OR GOODWILL
  • ANY BUSINESS LOSSES OR FAILURES OF ANY KIND
  • ANY DAMAGES ARISING FROM BUSINESS DECISIONS MADE BASED ON GENERATED OUTPUT
  • ANY DAMAGES ARISING FROM RELIANCE ON ANY GENERATED OUTPUT OR INFORMATION
  • ANY DAMAGES ARISING FROM ERRORS, INACCURACIES, OR OMISSIONS IN GENERATED OUTPUT
  • ANY DAMAGES ARISING FROM INTERRUPTION, SUSPENSION, OR CESSATION OF THE SOFTWARE
  • ANY DAMAGES ARISING FROM UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR DATA
  • ANY OTHER DAMAGES OF ANY KIND, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU ACTUALLY PAID TO US IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE CLAIM, OR TEN POUNDS STERLING (£10), WHICHEVER IS LESS.

YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND SMARTCHECK, AND THAT SMARTCHECK WOULD NOT PROVIDE THE SOFTWARE WITHOUT SUCH LIMITATIONS.

8. Indemnification

You agree to indemnify, defend, and hold harmless SmartCheck and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use of the Software
  • Your violation of this EULA
  • Your violation of any third-party rights
  • Your User Content

9. Term and Termination

9.1 Term

This EULA is effective until terminated by either party.

9.2 Termination by You

You may terminate this EULA at any time by ceasing all use of the Software and deleting your account.

9.3 Termination by Us

We may terminate this EULA immediately upon notice if you breach any provision of this EULA. We may also terminate or suspend your access at any time for any reason with reasonable notice.

9.4 Effect of Termination

Upon termination, your licence to use the Software immediately ceases. Sections 4, 6, 7, 8, and 11 shall survive termination.

10. Updates and Modifications

We may update or modify the Software at any time without notice. We may also update this EULA from time to time. Continued use of the Software after any such changes constitutes acceptance of the modified EULA.

11. Governing Law

This EULA is governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the courts of England and Wales.

For consumers in the European Union or United Kingdom, this clause does not affect your statutory rights or your right to bring legal proceedings in your country of residence.

12. Severability

If any provision of this EULA is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

13. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and SmartCheck regarding the Software and supersedes all prior agreements and understandings.
